Distributor On-boarding Agreement
ManoharYug Distributor Agreement – Terms & Conditions
By applying to become a ManoharYug Distributor, you agree to the following terms and conditions between Fitmaan Technologies Pvt. Ltd. (“Company”) and you (“Distributor”).
1. Appointment
- You are appointed as an authorized Distributor to sell and promote ManoharYug products in your assigned territory.
- This appointment is subject to the terms in this Agreement.
2. Your Responsibilities as a Distributor
2.1 Stock Maintenance
- Maintain enough stock to meet farmer demand.
- Refill stock regularly, considering consumption trends and seasonal needs.
2.2 Demand Forecasting
- Collect and analyze product demand data.
- Submit sales forecasts to the Company at prescribed intervals.
2.3 Training & Awareness
- Conduct farmer training sessions and product demos.
- Promote new tools, equipment, and techniques introduced by ManoharYug.
2.4 Financial Advisory Support
- Connect farmers with finance options provided by ManoharYug.
- Offer basic guidance on purchase financing.
2.5 Quality Control & Branding
- Check product quality before delivering to farmers.
- Use ManoharYug-provided QC and logo stickers on packages.
3. Pricing, Payment & Discounts
- Products will be supplied at Company-declared prices.
- Payments must follow agreed credit terms or be made in advance.
- Special promotions or incentives will be shared in writing.
4. Sales Targets & Performance
4.1 Sales Targets
- Achieve minimum sales targets as set by the Company.
- Missing targets for two review periods may result in review or termination.
4.2 Performance Review
- The Company will review performance periodically.
- Factors include sales volume, farmer engagement, stock management, and quality compliance.
5. Territory & Exclusivity
5.1 Exclusive Territory (Density-Based)
- Territories are assigned based on market potential and population density.
- Only you will operate in your assigned territory.
5.2 One Distributor per Taluka
- Only one Distributor will be appointed per Taluka (covering 10–15 Dealers).
- No overlapping rights will be given within that area.
6. Distributorship Fee & Grace Period
6.1 Initial Marketing
Initiation of Marketing and Branding Activities Upon payment of the non-refundable application fee and PURCHASE OF PRODUCT/PRODUCTS ABOVE 30000 (via website link/online payment). The Company shall initiate preliminary marketing activities, which may include signage placement, social media promotions, and offline awareness campaigns, on the business target set by company which may inform on mail time to time
It is clarified that full distributorship rights, including operational launch, online access, and territory-level execution, shall commence only after the complete payment of the distributorship fee is received by the Company. Until such time, the Distributor shall not claim any operational entitlement or exclusivity under the ManoharYug brand, beyond the permitted initial marketing actions.
6.2 15-Day Grace Period
- You have 15 days from payment to confirm or cancel.
- If you cancel within this period, ₹30,000 will be refunded after deducting administrative charges.
- Refunds are processed within 45 working days.
- After 15 days, the distributorship is confirmed and active.
7. Transfer of Distributorship
- After 12 months of active operation, you may transfer your distributorship to another eligible party with Company approval.
8. Startup Bonus for Founder Distributors
- After completing 1 fiscal year, you will receive a bonus of ₹30,000 or equivalent in products.
9. Exclusivity & Non-Compete
- You must sell only ManoharYug products in your territory.
- No competing products or brands without written consent.
- For 1 year after termination, you cannot sell competing products in your area.
10. Intellectual Property
- You may use ManoharYug branding only for promotion of ManoharYug products.
- No ownership rights are given.
11. Confidentiality
- Keep all business, pricing, and customer information confidential — even after termination.
12. Term & Termination
12.1 Term
- Agreement continues until ended by either party.
12.2 Termination
- Either side can give 60 days’ written notice to end the agreement.
- Immediate termination may occur if:
- You breach a major term
- You become insolvent
- You miss sales targets for two review periods
12.3 After Termination
- Stop using ManoharYug branding.
- Return unused promotional materials.
- Clear all dues immediately.
13. Disputes
- First, try to resolve disputes amicably.
- If unresolved, disputes go to arbitration under the Arbitration and Conciliation Act, 1996.
- Arbitration will be in Nagpur, in English.
- Courts in Nagpur will have exclusive jurisdiction.
14. Other Conditions
- All notices must be sent in writing by post, courier, or email.
- This is the full agreement — it replaces any previous discussions.
- The Company is not liable for delays or disruptions caused by force majeure or exceptional circumstances.
- Any changes must be in writing and signed by both parties.
